Fairness Opinions
A fairness opinion is a letter from a financial advisor, typically issued to a company’s board of directors or an independent committee of the board, indicating that a transaction is fair to a company’s stockholders. Fairness opinions are usually obtained simultaneously with the board’s decision to close the contemplated transaction.
Major corporate transactions, such as selling the business, buying out a shareholder, and raising capital can be a source of conflict for privately or publicly owned businesses.
