Carter Morse & Goodrich Advises Lohmiller & Company on its Sale to SRS Distribution

Carter Morse & Goodrich (“CMG”) is pleased to announce that it served as the exclusive financial advisor to Lohmiller & Company (“Lohmiller” or the “Company”), also known as Carrier West, a leading independent distributor of heating, ventilation and air conditioning (“HVAC”) equipment, parts and supplies, on its sale to SRS Distribution Inc. (“SRS”). CMG managed, structured and negotiated the transaction on behalf of Lohmiller and its owners.

Headquartered in Denver, Colorado, Lohmiller has served the Rocky Mountain HVAC market for more than 35 years and today operates four locations with approximately 220 employees. Led by owners Tim Brooks, Roger Lee and Mark Brown, the Company has established itself as the region’s leading HVAC distributor and a trusted partner to contractors and suppliers. Lohmiller is a distributor of Carrier Corporation’s full suite of residential, light commercial and applied HVAC products, complemented by an extensive offering of parts and supplies.

The transaction brings together two organizations with highly complementary cultures centered on their people, customers and supplier relationships. As part of SRS, Lohmiller will maintain its local leadership and entrepreneurial approach while gaining access to the resources, technology, and operational support of one of North America’s largest building products distributors.

Dan Tinker, CEO of SRS, commented, “The Company’s reputation for exceptional customer service and passion for taking care of its people make it an outstanding fit, and we are honored they selected SRS as the right home for the business.”

Tim Brooks, President of Lohmiller, commented, “From the very beginning, CMG understood that finding the right partner for Lohmiller was about much more than achieving the best financial outcome. They invested the time to truly understand our business, our culture, and the values that have guided us for decades. Throughout the process, we always felt like a priority. Their deep HVAC industry expertise, strategic guidance, and thoughtful counsel helped us evaluate several outstanding opportunities. Ultimately, CMG helped us identify the exceptional cultural and strategic fit we found with SRS, and we could not be more pleased with the outcome and the future ahead.”

Chris Reenock, Managing Director and Head of CMG’s HVAC practice, commented, “I am thrilled for Tim, Roger and Mark, and for what this transaction means for Lohmiller going forward. They have built an exceptional business grounded in a culture of partnership, integrity and doing right by their customers, employees and supplier partners. Those values were evident throughout our work together and were critically important in finding the right partner for the Company. Our team at CMG is honored to have advised Tim, Roger and Mark on this important transaction, and we are incredibly excited for what comes next for Lohmiller and its team.”

The transaction highlights CMG’s longstanding commitment to the HVAC sector and its experience advising founder- and family-owned businesses across HVAC distribution, services and manufacturing on what is often the most important financial transaction of an owner’s career.

Dechert LLP served as legal advisor and Grant Thornton provided quality of earnings support to Lohmiller.
